Website Terms of Use

1. These terms

These Website Terms of Use ("Terms") govern your access to and use of 3am.si, www.3am.si, docs.3am.si, get.3am.si, warden.3am.si and any other website or online service we run that links to them (together, the "Site"), operated by 3AM Super Intelligence Inc. ("3AM", "we", "us", "our").

By accessing or using the Site, you agree to these Terms. If you use the Site for an organisation, you agree for it and represent that you have the authority to do so; "you" then means both you and it. You must be at least 18 years old to use the Site. If you don't agree, don't use the Site.

Some features of the Site have additional terms posted with them, such as our Privacy Policy, AI Notice, Acceptable Use Policy and Cookie Notice. They form part of these Terms.

The 3AM software is separate. Downloading, installing or using 3AM, including a trial, is governed by the Software Licence Agreement or the agreement your organisation signed with us. If these Terms conflict with that agreement about the software, that agreement prevails.

2. Your access

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site to learn about, evaluate, obtain and use 3AM and its documentation for your organisation.

You must not: (a) sell, license, rent, distribute, host or otherwise commercially exploit the Site or its content; (b) copy, modify, translate or create derivative works of the Site, except as section 4 allows; (c) reverse engineer or attempt to extract the source code of the Site or Warden; (d) access the Site to build a competing product or service; or (e) remove any copyright or proprietary notice.

Search engines may crawl the Site to create public search indexes, but not caches or archives, within our robots.txt.

We may change, suspend or discontinue any part of the Site at any time, with or without notice, and we're not liable to you for doing so. We have no obligation to provide support for the Site.

3. Acceptable use

You agree not to:

• break any law or regulation, or infringe anyone's rights, through the Site;
• upload or transmit viruses, malware or any code designed to harm or gain access to systems or data;
• try to gain unauthorised access to the Site, Warden or any related system or network, or probe, scan or test their vulnerability, except under our security policy;
• interfere with, disrupt or place an unreasonable load on the Site or its infrastructure;
• use bots, scripts or other automated means to submit forms, request trials, create accounts, or scrape or mine data from the Site;
• give false or misleading information, impersonate anyone, use an email address that isn't yours, or request trials for an organisation you don't belong to;
• harvest information about other users or our staff;
• send spam or unsolicited messages through the Site.

We may investigate breaches and take any action we consider appropriate, including suspending your access, cancelling trial codes and reporting conduct to law enforcement.

4. Ownership

The Site and everything on it, including text, documentation, designs, diagrams, images, videos, software and the 3AM name, logo and other marks, belong to 3AM or its licensors and are protected by copyright, trademark and other laws. We reserve all rights not expressly granted. No licence is implied.

You may view, download and print pages of the documentation for your organisation's evaluation and use of 3AM, and quote short extracts with attribution and a link to the Site, provided you keep our notices intact. You may not use our marks without our prior written consent. Other marks on the Site belong to their owners and don't imply endorsement.

5. What you send us

When you submit a form, request a trial or contact us, you represent that the information is accurate and yours to share. We handle personal data as our Privacy Policy describes.

If you send us suggestions, ideas or feedback ("Feedback"), you assign to us all rights in it, and we may use it for any purpose without obligation to you. Don't send us anything you consider confidential through the Site, except where a separate written agreement covers it.

6. AI and the information on the Site

3AM is AI software. Our AI Notice explains what its models do and how they can be wrong, and forms part of these Terms.

The Site is general information about 3AM. Figures, examples, demonstrations and incident replays come from the tests and environments they describe; results in your environment will differ. Nothing on the Site is a promise about how 3AM will perform for you, or professional advice. What 3AM does for your organisation is set only by your licence agreement and its documentation. We try to keep the Site accurate and current, but we don't guarantee that it is, and we may change it at any time.

7. Third-party links and services

The Site may link to, or rely on, websites and services run by others. We don't control or endorse them and aren't responsible for their content, terms or practices. Your use of them is at your own risk and under their terms.

8. Your indemnity

To the extent the law allows, you will defend, indemnify and hold harmless 3AM and its officers, directors, employees and agents from and against any third-party claim, and the resulting losses, damages, costs and reasonable attorneys' fees, arising out of your use of the Site in breach of these Terms or the law, or information you submit. We may assume the exclusive defence of any such claim at your expense, and you will cooperate with it. You won't settle any such claim without our written consent.

9. Release

To the extent the law allows, you release 3AM and its officers, employees, agents, successors and assigns from all claims, demands and damages of every kind, known and unknown, arising out of or relating to the Site, including the acts or omissions of third-party sites and services. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH SAYS: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY." This release doesn't cover claims under a signed agreement with us, including the Software Licence Agreement.

10. Disclaimers

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT THE LAW ALLOWS, 3AM AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SITE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR BE FREE OF VIRUSES OR OTHER HARMFUL CODE, OR THAT ANY CONTENT IS ACCURATE, COMPLETE OR RELIABLE. IF THE LAW REQUIRES ANY WARRANTY, IT IS LIMITED TO 90 DAYS FROM YOUR FIRST USE OF THE SITE.

Some jurisdictions don't allow the exclusion of implied warranties or limits on how long they last, so some of the above may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT THE LAW ALLOWS, IN NO EVENT WILL 3AM OR ITS SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, REVENUE OR DATA, COSTS OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THEIR POSSIBILITY. YOUR ACCESS TO AND USE OF THE SITE IS AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SITE, FOR ANY CAUSE AND IN ANY FORM OF ACTION, WILL NOT EXCEED FIFTY US DOLLARS (US$50). MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. OUR SUPPLIERS HAVE NO LIABILITY TO YOU ARISING FROM THESE TERMS.

Some jurisdictions don't allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above may not apply to you. Nothing in these Terms limits liability that can't be limited by law.

12. Suspension and termination

These Terms apply while you use the Site. We may suspend or end your access to the Site at any time, for any reason, including for breach of these Terms, without liability to you. Sections 4 to 17 survive.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, and by the Federal Arbitration Act for section 14, without regard to conflict-of-law rules. Subject to section 14, the state and federal courts in Delaware have exclusive jurisdiction, and you consent to their jurisdiction and waive any objection to venue there.

14. Disputes and arbitration

Talk to us first

Before starting arbitration or a small-claims case, the party with a dispute must send the other written notice describing it (with name, contact details, and counsel's details if any), and the parties will meet by phone or video, in good faith, within 45 days to try to resolve it individually. This step is a condition of starting arbitration, and limitation periods are paused while it runs.

Binding arbitration

If the dispute isn't resolved within 60 days of the notice, either party may resolve any dispute relating to the Site or these Terms by binding arbitration administered by JAMS under its Streamlined Arbitration Rules (for claims under US$250,000) or its Comprehensive Arbitration Rules (otherwise), before a single arbitrator. The arbitrator decides all disputes about the scope and enforceability of this section, except that a court decides disputes about the class waiver below, about whether the pre-arbitration conditions were met, about arbitration fees (except under the batch process) and about which version of this section applies. The arbitrator may award any individual relief a court could, and the award may be entered in any court with jurisdiction. Arbitration proceedings are confidential. Each party pays its own attorneys' fees unless the arbitrator finds a claim frivolous or brought for an improper purpose; JAMS fees are paid as its rules provide.

Exceptions: either party may bring individual claims in small-claims court, and either may seek injunctive or equitable relief in court for infringement or misuse of intellectual property. Nothing here stops you from raising issues with a government agency.

No class actions, no jury

YOU AND 3AM MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND 3AM WAIVE ANY RIGHT TO A JURY TRIAL. If a court finally decides this waiver is unenforceable for a particular claim (such as public injunctive relief), that claim alone is severed and may be brought in the Delaware courts; everything else is arbitrated.

Mass claims

If 100 or more substantially similar requests for arbitration are filed against us by or with the help of the same law firm or organisation within 30 days, JAMS will administer them in batches of 100, each with one arbitrator, one set of fees per side, and one award. We pay the fees of any administrative arbitrator appointed to decide whether this process applies.

30-day right to opt out

You may opt out of this section by writing to [email protected] or to the address above within 30 days of first becoming subject to it, with your name, address and a clear statement that you opt out of arbitration. If you opt out, the rest of these Terms still apply. If we make a material change to this section, you may reject it within 30 days of it taking effect, in the same way.

Any claim relating to the Site must be brought within one year after it arises, or it is permanently barred, to the extent the law allows.

15. Export and sanctions

The Site and 3AM are subject to US export control and sanctions laws. You won't use, export or re-export them in breach of those laws, and you represent that you are not located in a comprehensively sanctioned country or region, or on any US government restricted-party list.

16. Electronic communications

You consent to receive communications from us electronically, by email or notices on the Site, and agree that they satisfy any legal requirement that a communication be in writing. This doesn't affect your non-waivable rights.

17. General

Changes. We may revise these Terms. We'll post the new version here with its effective date and, for material changes, may also notify you by email or a notice on the Site. Continued use after a change means you accept it, subject to your right in section 14 to reject changes to the arbitration terms.

Entire agreement. These Terms, and the documents they refer to, are the entire agreement between you and us about the Site. Our failure to enforce a provision isn't a waiver. If a provision is held invalid, it will be modified to the minimum extent needed to make it enforceable, and the rest stays in effect. Headings are for convenience only; "including" means "including without limitation".

Assignment. You may not assign or transfer these Terms without our prior written consent; any attempt to do so is void. We may assign them freely. They bind permitted successors and assigns.

Relationship. Nothing in these Terms creates a partnership, agency or employment relationship.

California users. You may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
